1. Who these terms apply to

These Terms of Service govern your use of morning-design.com and any service engagement with Morning Design S.r.l.s. ("morning-design," "we," "us"), registered at Via Vassalini, 33, 23023 Vassalini SO, Italy, P.IVA IT01184570149. By using this website or engaging our services, you accept these terms.

2. Our services

morning-design provides web design, e-commerce development, branding and visual identity, UX/UI design, SEO and digital visibility, and maintenance and care plan services, described in detail on the relevant service pages. Pricing shown on this site ("from €X") reflects real starting prices for the scope stated alongside each figure; a final quote is confirmed in writing before any project begins.

3. Quotes and engagement

A quote becomes a binding engagement once both parties confirm it in writing (typically by email) and, where applicable, the agreed deposit is paid. Nothing on this website constitutes a binding offer by itself; it is a starting point for a scoped, written quote.

4. Payment

Unless otherwise agreed in writing: project work is invoiced as a deposit (typically 40% of the total) to confirm the schedule, with the remaining balance split across agreed milestones or due at delivery/launch. Monthly services (Care Plans, SEO & Digital Visibility retainers) are invoiced monthly in advance. Invoices are payable within 14 days unless a different term is agreed in writing. Late payment may pause active work until the account is settled.

5. Cancellations and refunds

Cancellation, rescheduling, and refund terms are set out in our Refund & Cancellation Policy, which forms part of these Terms.

6. Ownership and intellectual property

Once a project is paid in full, ownership of the final agreed deliverables (design files, website or store code built for you, brand assets, and content we created specifically for the project) transfers to you, except for: (a) any third-party licensed material (stock assets, fonts, plugins, or platform software), which remains subject to its own licence terms; and (b) our general working methods, templates, and know-how, which we may reuse for other clients. Until full payment is received, all deliverables remain the property of Morning Design S.r.l.s.

7. Your responsibilities

You agree to provide timely feedback, content, and assets reasonably required for us to deliver the project on the agreed schedule, and to hold the rights to any material you supply to us. Delays caused by late feedback or missing content may adjust the delivery schedule.

8. Featured / concept work

Any "concept work" shown on this site (for example on the Home and service pages) is illustrative design work created to demonstrate our approach and capability. It is clearly labelled as concept work and is not presented as a delivered client project unless stated otherwise.

9. Liability

We deliver our services with reasonable skill and care. To the extent permitted by Italian law, our total liability for any claim arising from a project is limited to the fees paid for that project. We are not liable for indirect or consequential losses, or for outcomes (such as search rankings or sales volumes) that depend on factors outside our control, such as market conditions or third-party platform changes.

10. Third-party platforms and services

Where a project uses third-party platforms or services (hosting providers, e-commerce platforms, payment processors, analytics tools), your use of those platforms is also subject to their own terms. We are not responsible for outages, price changes, or policy changes made by third-party providers.

11. Website use

This website is provided for information about our services. You may not use it to transmit unlawful, harmful, or infringing content, or attempt to disrupt its normal operation.

12. Governing law and jurisdiction

These terms are governed by Italian law. Any dispute that cannot be resolved directly will be subject to the exclusive jurisdiction of the courts of Sondrio, Italy, except where mandatory consumer-protection rules provide otherwise for private individual clients.

13. Changes to these terms

We may update these terms from time to time; the date at the top reflects the most recent version. Continued use of the site after an update constitutes acceptance of the revised terms.
